TERMS AND CONDITIONS

These Terms and Conditions (hereinafter the “Terms and Conditions”) applicable to the use of the Website, Site or Page, www.medonefarma.com (hereinafter the “Site”, “Online Store” or the “Page” as the case may be). These Terms and Conditions applicable to the use of the Site, constitute the general conditions of use, contracting and relationship between the User (hereinafter the “User”) and LIDERES EN SOLUCIONES FARMACEUTICAS Y DE DIAGNOSTICO SA DE CV, (hereinafter “Medonefarma”) who offers and sells the goods or services of its business (hereinafter the “Products”). Please read these Terms and Conditions carefully before using or consulting this Site, by making use of this Site, you unequivocally declare that you have read understood and completely agree that you are governed by these Terms Conditions and that include Medonefarma policies established here and they are binding and obligatory for anyone who makes use of our site and business products and services, therefore, if you do not unequivocally accept and agree to these Terms,  Conditions, polices you are prohibited from using the site and Medonefarma services and must refrain from continuing to use the Site.

BACKGROUND

Medonefarma has developed the Online site and Store exclusively so that the User located within Mexico and in some pre-approved cases foreign businesses entities can purchase Products included in the Catalogue and request that said Products be delivered to any address located within Mexico. Foreign business entities are required to be pre-approved before making purchases from the site and foreign entities may only purchase via the payment process using SWIFT or OpenBanking as may be available in the Territory of the foreign business and Mexico. The use of this Site is governed by the laws of the Republic of Mexico, so if you use this Site from another country, it will be at your own risk and you are responsible for complying with Mexican laws and those in force in the jurisdiction in which you are located.

STATEMENTS

Medonefarma declares:

(i) To be a commercial company duly constituted in accordance with the laws of the United Mexican States; (ii) That its corporate purpose includes the marketing, sale and distribution of medicines and food supplements, as well as natural and herbal products; and (iii) That it has developed its Online Store with the purpose that the User of the Site can acquire through electronic means the Products that are shown in the Catalog of the Site under the terms that the parties agree in the corresponding Order and Purchase Confirmation (as said terms are defined below). The User
declares (i) To be a natural person, of legal age and to have full legal capacity to be able to be bound in terms of these Terms and Conditions, (ii) To hold the status of “User” of the Page or Site; (iii) To have your domicile or residence within the Mexican Republic; (iv) That you wish to register on the Page or Site to create a personal account and that this allows you to acquire the Products available in the Online Store; (v) That he/she is aware that all transactions carried out on the Site by himself/herself or by a third party associated with the use of his/her password and electronic signature will be attributable to the User’s account. ‍ In light of the above background and statements, Medonefarma and the User agree to be bound by the following:

DEFINITIONS

• Catalog.It is made up of all the Products that are available in the Online Store, with the understanding that their availability depends on the existing inventories at the time of placing the Order. The Products in the Catalog may be changed or discontinued from time to time at the discretion of Medonefarma.
  
• Contents. This term refers to any information and material published on the Page or Site, including, but not limited to: all brands, designs, Product descriptions, text in HTML language, graphics, files, photographs or images owned by Medonefarma or a third party under license, which must also include all codes, software, databases and any other that the Site uses.
  
• Purchase Confirmation. It is the email that the Site sends to the User after having made the purchase transaction in which Medonefarma agrees to fill the Order requested by the User so long as inventory is available. At that time, it means that Medonefarma has agreed to sell and the User to buy the respective Products, in whose confirmation an order number will be included so that the User can track or trace the corresponding Order.
  
• Contractual Documents. Refers to the Terms and Conditions, Privacy Notice, Shipping, Delivery and Return Policy and any other agreement, notice or policy that Medonefarma issues and publishes and that is applicable to transactions made through the Online Store.
  
• Shopping Cart. Refers to the total number of Products selected and added by the User in a special section within the Site for future purchase.
  
• Order . Refers to the data entered by the User requesting the purchase of the Product(s) available in the Catalog in which the User expresses his/her full willingness to acquire said Products under the Prices, Terms and Conditions described therein.
  
• User. Any person who visits the Page or Site.

TEMPORARY USE LICENSE FOR THE SITE

Pursuant to these Terms and Conditions, Medonefarma grants and concedes to the User a temporary and personal, non-exclusive, revocable and non-transferable License to make use of the Site, all for exclusively personal, private and non-profit use.

This License may be terminated or cancelled by Medonefarma at any time in the event of non-compliance with any of the following prohibitions:

a) Use the Site to resell Products or make any other commercial use of its contents;

b) Carry out the modification, adaptation, translation, disassembly or conversion of any format or computer program that exists on the Site. You are only authorized to use the HTML code or any other code on this Page in the form in which you receive it through your browser. You are also not authorized to make such codes available to a third party;

c) Copy, imitate, replicate for use on mirror servers, reproduce, distribute, publish, download, display or transmit any Content (including Trademarks ®) in any form or by any means; This restriction includes, but is not limited to, the following means: electronic, mechanical, photocopying, recording or any other means not mentioned;

d) Compile and use any Product listing or Product description;

e) Make modifications to the Site and/or the contents or;

f) Use any automated mechanism or tool or any similar method or technology that has as its purpose or as a consequence the extraction, obtaining or compilation, directly or indirectly, of the contents or any information or personal data related to the Site. Except for the uses of the Page that have been authorized in this section, it is noted that Medonefarma does not grant you any right or license to use any patent, trademark ®, copyright, rights of access, use or exploitation of databases or any other intellectual property right that belongs to Medonefarma, its subsidiaries or any third party with whom Medonefarma has a business relationship, under the terms of the applicable legislation (including copyright or industrial and intellectual property rights). You may not use any meta tags or hidden text containing Medonefarma’s name, trademark ® or the names of the Products without first obtaining Medonefarma’s express written consent.

CATALOG INFORMATION

The User accepts and acknowledges that Medonefarma:

• Does not guarantee that the information in the Catalog, including product descriptions, photographs, labels or any other content on the Site is accurate, complete, up-to-date or free of errors or omissions; nor does it undertake that such information exactly matches the information on the labels or any other information included in the Products or their packaging;

•Reserves the right to change or substitute at any time any product in the Catalog, the prices or specifications published on the Site and any other content thereof; Medonefarma assumes no liability for any damages or losses that may be caused by the change, substitution or withdrawal or removal of a product;

• Has the right to revoke any offer or promotion applicable to the Products, even before the promotion expires. If applicable, Medonefarma will notify the revocation of the offer or promotion through the Site. Medonefarma will respect the rights of consumers whose orders have been accepted during the validity of the offer, promotion or before being removed from the portal, in accordance with the applicable regulations;

• It does not guarantee that the Products included in the Catalog will be available when the Order is placed or subsequently;

• It reserves the right to limit the quantities of Products available for sale through the Online Store.

PURCHASE AND SALE OF PRODUCTS.

Use of password. By creating an account on the Site, our platform will safeguard and protect your personal data and may use such information for future purchases, thus facilitating access and the transaction process. The User may only make transactions if he or she has logged into the Site and accesses his or her account using the User ID and his or her private password. In terms of the provisions contained in applicable laws, the use of the User ID and password allows us to identify you in the digital environment and attribute to you the acts and transactions you carry out in the Online Store. Information prior to the User’s transaction. Before placing your Order, you may review the characteristics of the Products uploaded to the Shopping Cart, as well as the specifications that are applicable to the acquisition of the Products, including price, taxes, charges, payment method and special conditions that may also be applicable to the delivery of the Products. This information generally appears in the description associated with each Product. Likewise, all Purchase Confirmation is governed by these Terms and Conditions and by the Shipping, Delivery and Return Policy described below. 

Return Policy:

Due to the extraordinary security requirements for healthcare related products it is the policy of Medonefarma it is the users responsibility they must verify any healthcare related product purchase prior to proceeding with their checkout purchase.  Healthcare related productrs are considered sensitive trace protocol products and in many cases may not be resold and are therefore considered final sale items and not eligible to be returned.  In extra ordinary cases customers may request a credit note due to some unforeseen reason however any credit note request for an item that was paid in full and delivery accepted it will be at the sole discretion of Medonefarma if any credit note will be offered.  For any extraordinary credit note request it is obligatory that the customer complete and file their credit note request to creditnoterequest@medonefarma.com If you have any questions related to the Products you intend to purchase, please contact Medonefarma’s customer service department at the email address info@Medonefarma.com  Before placing your Order, our Online Store will allow you to review the Products you have chosen to purchase and the address where you request delivery to be made, in addition to the total price to be paid, shipping cost and taxes that correspond to the final transaction.  In some or all cases technology may be utilized to confirm order has been successfully received by the customer, this confirmation technology is considered confirmation the order has been successfully delivered to the customer.

Product prices are expressed in national currency. Product prices are those shown on the Site and include applicable taxes unless otherwise indicated. Before pressing or clicking on the payment button, you will be able to see the total price to be paid and any discounts that may be applicable, if applicable; the taxes to be paid will be broken down in the terms established by the applicable regulation.

Product Availability.The Products displayed on the Site are from our Catalog. The Products are subject to availability, therefore, they may not be in stock at the time the Order is placed. If Medonefarma accepts your purchase, you will receive an email with the Purchase Confirmation data. If there is not enough stock of a product or we require additional information from the User to process the transaction, the User will be notified via email, before sending a Purchase Confirmation email. Medonefarma reserves the right at any time and without prior notice, to discontinue, modify the price, specifications and description of the Products published on the Site.

The User acknowledges and accepts that the images of the Products published on the Site may show an image variation in the Products different from their final physical version, due to the configuration of the equipment used to display the Site, as well as to update the packaging design or labels. The above does not represent an alteration in the formulas or content of the Products, therefore, it will not be a cause for cancellation or return of the purchase of the Product(s).

Sale of Products . The sale becomes obligatory for both parties at the moment in which the User receives a Purchase Confirmation email from Medonefarma. Medonefarma, through its system of its provider in charge of online transactions, charges your credit or debit card (according to the payment method that the User has chosen to make the sale). The payment and the accreditation of the purchase will be reflected immediately. The payment will be updated in our system without the need for the User to share the receipt, proof of purchase or Purchase Confirmation email, however, we recommend keeping said documentation until the Order has been sent. The ownership of the Products is transferred to you at the time you receive the Purchase Confirmation or at the time Medonefarma receives confirmation of your payment.

Online Payments. Our online payment system only accepts payments through SPEI SPEI® is a system operated by the Bank of Mexico that allows electronic payment transfers. This system allows you to transfer money electronically between bank deposit accounts.

SPEI® is the best system to make your payments quickly and safely. Alternatively credit cards, debit cards, Visa and Mastercard may be accepted. Authorized online payment methods will be presented at checkout.  Before you can complete your Order, you must provide through the Site, the address and data associated with the card with which you intend to make the transaction, including your card number, name of the cardholder, expiration date and security code (CCV). It is important to mention that Medonefarma does not store the card information. This data is obtained directly from the information provided by the User, through a section protected by the high security levels of the Site and by the company that Medonefarma has contracted to process payments. The payment processor requests authorization for your purchase from the issuing bank, in order to provide greater security in terms of the protection of the operation. Cancellation of the Order by Medonefarma. The User accepts that Medonefarma will have the right to rescind or cancel all or part of any transaction after the Purchase Confirmation and until before the Product(s) are shipped. In this case, Medonefarma will contact the User and inform him/her that his/her order was cancelled, explaining the reasons. In cases where the cancellation of an Order is determined, Medonefarma will refund the purchase amount to the credit or debit card that the User used to carry out the transaction. In this regard, Medonefarma will not be able to refund said refund to a card other than the one used to carry out the purchase.

The User accepts that Medonefarma may rescind or cancel the purchase and refund the corresponding money in the following cases:

• Typographical or capture errors;
• The existence of errors in the information offered for any Product in the Catalogue or regarding its price or availability;
• Possible risks related to your payment method that are identified by our credit and fraud prevention system;
• Situations beyond Medonefarma’s control that limit or prevent the delivery of the Product(s);
• In the event that Medonefarma determines that you have breached any of the sections established in the Terms and Conditions, Privacy Notice and other related notices.

Electronic Billing. Once the User receives the Purchase Confirmation, the User will have the possibility to request an invoice for the purchase only during the month in which the purchase was made. If the User made their purchase on the last day of the month, they will only have the possibility to request an invoice for their purchase within 72 hours of receiving the Purchase Confirmation. In this sense, the User will not be able to request an invoice for the purchase. For this purpose, the User must send an email to the address: facturacion@medonefarma.com sending their tax information (name or company name, Federal Taxpayer Registry or, Proof of Tax Status, home address and CFDI usage) within a period of 24 to 72 hours after the invoice request. Medonefarma will send you the corresponding documents in .PDF and .XML format. In the event that the User needs to modify or correct his/her invoice, he/she must send the correction request to the aforementioned email, as long as it is within the month in which the invoice was issued.

PAGE CONTENT

You are prohibited from creating or maintaining any link from another Internet site to any page found on this Site without prior notice or written permission from Medonefarma. Any permitted link to this Site must comply with all applicable laws, rules and regulations. On occasion, the Page may contain links to Internet sites that are not controlled or managed by Medonefarma, and these links are provided for your benefit or information. By using these links you will leave the Site www.medonefarma.com and Medonefarma will not be responsible for any content, material or other information found and accessible on such external sites. In the event that the User decides to enter or visit these sites and extract or enter information, he or she will do so at his or her own risk.

It is prohibited to display or transmit any type of illegal, dangerous, defamatory, obscene, pornographic material or any other type of information that may constitute conduct that is considered a criminal offense or that violates any law. Medonefarma reserves the right to take any action it deems necessary to prevent any violation, including, without limitation, the immediate removal of materials related to this type of Site. Medonefarma will fully cooperate with the competent judicial and/or administrative authorities to identify anyone who posts this type of information.

The User of the Site agrees that it is used at its own risk. This Page and its Contents are provided as is and to the extent permitted by applicable law, without Medonefarma providing any guarantees of any kind. Medonefarma does not provide any guarantee regarding the quality of the information or regarding the Page or its Contents for a particular purpose; Medonefarma does not guarantee that the use of the Page will meet the needs of the User or that the Content on this Page is accurate, complete, up-to-date or error-free. Medonefarma is not responsible for typographical errors or omissions related to prices, text or photographs. Medonefarma does not warrant that this Site or its server are free of viruses or other harmful components even if Medonefarma or its representatives have been advised of the possibility of such viruses or other harmful components existing. We recommend that you use commercially available virus detection software when accessing or using this Site and keep such software up to date. Reference to any Product, service, process or other information, by trade name, trademark, manufacturer, supplier or otherwise, does not constitute or imply endorsement, sponsorship or recommendation thereof by Medonefarma.

USER OBLIGATION

The User’s obligations are described below:

• Comply with all sections contained in these Terms and Conditions and in the Site’s contractual documents;

• Provide the Site with the requested information in a complete, correct and updated manner;

• Notify Medonefarma of any changes to the information previously provided (including delivery addresses). To this end, please use the options Medonefarma offers to correct your personal data in terms of our Privacy Notice;

• Keep your User ID and password to access the Site secret and confidential. If you consider that you have lost control over the confidentiality of your account, your password or that such confidentiality is at risk, notify Medonefarma of this situation immediately by contacting our customer service department at: info@medonefarma.com . The User will be responsible for any transaction that is made through his/her account (made personally by the User or by an authorized third party) that occurred before he/she has notified us of this situation. Medonefarma assumes no obligation with respect to these transactions;

• The User agrees not to use the Site for the following: (i) Carry out transactions that violate the rights of third parties resulting in the violation of any national or international law; (ii) Impersonate another person or entity and; (iii) Disseminate through the Site platform any information, program or code that could cause damage including a virus, Trojan horses, malware, worms or other computer programming codes that could damage, spy on, interfere with, intercept, extract information or personal data from our computer systems of the platform on which the Online Store operates or from the equipment, networks, systems and computer programs that our Users use to interact with the Site;

• Medonefarma operates this Site, however, it has no capacity to monitor the compliance of the various persons and entities participating in it with applicable laws, therefore, Medonefarma assumes no responsibility for any content published or uploaded on the Site by third parties, including content that may give rise to error, defamation, slander, omission, threats, falsehood or that could be considered pornographic or presumed to be an unlawful act. Medonefarma has the right (but is not obligated to) investigate any conduct of a User that is reported or perceived as illegal or that could contravene any of the clauses or sections of the contractual documents of the Site; Medonefarma may conduct an investigation on its own initiative or at the request of a third party;

• Medonefarma reserves the right to take any legal action or technique it deems appropriate to protect its own or third party interests. These measures include issuing warnings, suspending, interrupting or cancelling access and use to any User;

• The User agrees to indemnify Medonefarma and its employees and representatives with respect to any damage or loss received by Medonefarma as a result of any claim, action or demand brought against it by a third party. All of the above shall apply, provided that said claim or action is a consequence of or related to the use that the User has made of the Site, whether due to breach of the Terms and Conditions, Privacy Notice and rights of third parties. The User shall reimburse Medonefarma for any expenses that Medonefarma must make in relation to said claims or demands, including costs of fines and legal fees.

SECURITY MEASURES

This Privacy and Confidentiality Statement is subject to Medonefarma’s Terms and Conditions, which constitute a legal agreement between the User and Medonefarma.

If the User uses Medonefarma’s services on any of its Sites, it means that he or she has read, understood and agreed to the terms set forth above. If he or she does not agree to them, the User should not provide any personal information or use the services of Medonefarma’s Sites.

INTELLECTUAL PROPERTY

All content on the Site is protected in Mexico and other countries by international laws and treaties on Intellectual Property and is the property of Medonefarma, its manufacturers and suppliers.

The trademarks, designs, programming designs, structure, database, text, images, photographs and all elements contained and published on this Page are the property of Medonefarma or, where applicable, have an exclusive license for use and are registered, so they may not be copied, reproduced or used in whole or in part, without prior written authorization from Medonefarma. Please note that within the Content of the Site there may also be registered trademarks, product names and designs, among others, that are the property of third parties and are used under a license for use authorized to Medonefarma, which is why you may not use said intellectual property rights without the corresponding authorization.

Except as expressly provided, no Content or other intellectual property rights relating to the Site may be copied, reproduced, distributed, replicated, downloaded, displayed, posted or transmitted in any form or by any means without Medonefarma’s prior written permission, including, but not limited to, electronic, photocopying, recording or otherwise. Users may electronically copy and print certain materials from the Site for personal, private, non-commercial or non-profit use.

Any computer software, including any files, images incorporated in or generated by the software, and any accompanying data that may be made available through the Site or facilitate its operation, may be used only under the terms of the license granted to User by Medonefarma pursuant to these Terms and Conditions.

Medonefarma retains at all times all Intellectual Property rights in respect of the software. The User shall not copy, distribute, sell, modify, decompile, reverse engineer, disassemble or create adaptations, modifications or derivative works from the Software without prior express written authorization from Medonefarma.

ASSIGNMENT AND TERMINATION

The User may not assign the rights and obligations set forth in these Terms and Conditions and in any other contractual document on the Site. Users hereby authorize Medonefarma to assign its rights and obligations arising from these Terms and Conditions to a third party.

Medonefarma may modify these Terms and Conditions on the Site from time to time. In such case, we will publish the new version of the modified document on the Site and mention the date on which it was last updated.

Medonefarma reserves the right to terminate the license previously granted for the use of the Site at any time. The contractual documents on the Site will survive the termination of the license.

MODIFICATION TO TERMS AND CONDITIONS

These Terms and Conditions may be revised at any time and may also be updated by Medonefarma at any time without prior notice. The User must visit the Site frequently to review the updated Terms and Conditions.

Any changes or modifications will take effect immediately upon being posted. If you do not agree to the new Terms and Conditions, please stop using the Site immediately. By using the Site after the Terms and Conditions come into effect, you are expressing your consent to the sections or clauses contained therein. Without prejudice to the foregoing, it is noted that the modifications will not be retroactive to Orders that are in the process of delivery, which will continue to be governed by the Terms and Conditions of the Site that were in effect at the time of the Purchase Confirmation.

DIVISIBILITY

In the event that any section or clause contained in the Terms and Conditions of the Site is declared to be illegal, void, invalid or unenforceable, then to the extent permitted by law, such illegality, nullity, invalidity or unenforceability shall not affect the validity of the clauses set forth therein, which shall continue in full force and effect.

JURISDICTION AND GENERAL INFORMATION

For the interpretation and compliance of these Terms and Conditions, the parties agree to submit to the Laws of the United Mexican States. In the event of a dispute or controversy, both Medonefarma and the User expressly submit to the competent courts of the City of Tijuana, Baja California, for which it is understood that any other jurisdiction or competence that, due to their present or future addresses, could result from any principle of conflict of laws has been expressly waived.

The headings of the clauses included in these Terms and Conditions, as well as the content of the Site, are exclusively for convenience, reference or identification, so they will not be considered for the purposes of interpretation or compliance thereof.

The User acknowledges and accepts that the information on the Products provided on the Site is not intended to replace advice provided by his or her doctor or other health professional. The User should not use the information available on the Site to diagnose or treat a health problem or to recommend any medication or food supplement found within our Catalog. Information and statements regarding dietary supplements have not been evaluated by the Ministry of Health and are not intended to diagnose, treat, cure or prevent any disease. Therefore, it is the obligation of each User to carefully read the entire Product label before use.

QUESTIONS, COMPLAINTS AND CLAIMS

In case of questions, complaints and/or claims regarding the content of these Terms and Conditions of the Site, we invite you to contact Medonefarma’s customer service by email: info@medonefarma.com .

If any unauthorized payment appears on your credit or debit card statement as a result of the purchase in the Online Store of www.medonefarma.com, you must notify your banking provider in accordance with its reporting rules and procedures.

Secure Purchase: Medonefarma has established a Secure Purchase Processes for each transaction with www.medonefarma.com , working in conjunction with the MERCADO PAGO platform.
